Terms of Service

1. Who these terms apply to

These Terms of Service ("Terms") govern your use of PropLedger, a property management platform operated by PropLedger Ltd ("we", "us", "our"). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use PropLedger.

These Terms are governed by English law and subject to the exclusive jurisdiction of the courts of England and Wales.

2. The service

PropLedger is a software-as-a-service (SaaS) platform that helps UK landlords manage properties, track compliance documents, record expenses, manage tenancy contracts, and generate documents.

The service is provided "as is" and "as available". We will use reasonable endeavours to maintain uptime but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.

3. Your account

• You must provide accurate information when creating your account.
• You are responsible for maintaining the security of your password and for all activity under your account.
• You must notify us immediately at hello@propledger.app if you suspect unauthorised access.
• You may not share your account with other people or use it on behalf of others without our consent.
• You must be at least 18 years old to use PropLedger.

4. Acceptable use

You agree not to:

• Use PropLedger for any unlawful purpose or in violation of any applicable law or regulation.
• Upload content that is defamatory, fraudulent, or infringes any third-party intellectual property rights.
• Attempt to reverse-engineer, decompile, or extract the source code of PropLedger.
• Use automated tools to access, scrape, or load-test the service without written permission.
• Misrepresent tenant data or use PropLedger to facilitate unlawful discrimination.

5. Free and Pro plans

PropLedger is available on a Free plan (up to 3 properties) and a Pro plan (unlimited properties, £12/month including VAT). Features of each plan are as described on our pricing page at propledger.app/pricing.

We reserve the right to change plan pricing with at least 30 days' notice to existing paying customers. Free plan limits may change; we will give at least 14 days' notice to affected users.

6. Payment and cancellation

Pro plan payments are processed by Stripe. Your subscription renews automatically monthly. You may cancel at any time via your account settings; Pro access continues until the end of the paid period. We do not offer partial-month refunds except where required by law.

If a payment fails, we will retry over 3 days before suspending Pro features. We will email you before any suspension.

7. Your data

You own all data you input into PropLedger. We process it to provide the service as described in our Privacy Policy. You may export your data at any time in CSV format.

On account closure, your data is retained for 30 days and then permanently deleted, except where we are required to retain it by law.

8. No legal advice

PropLedger provides tools to help you organise and track compliance information. Nothing in the service constitutes legal, tax, or financial advice. Document templates (Section 8, Section 21, AST) are provided as starting points and should be reviewed by a qualified professional before use. We accept no liability for reliance on any document generated by PropLedger.

9. Limitation of liability

To the maximum extent permitted by applicable law, PropLedger Ltd is not liable for any indirect, incidental, special, or consequential loss arising from your use of the service, including but not limited to loss of data, loss of profits, or compliance failures.

Our total aggregate liability to you for direct loss shall not exceed the greater of (a) £100 or (b) the total fees you have paid to us in the 12 months preceding the claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Termination

We may suspend or terminate your account if you breach these Terms, with or without notice depending on the severity of the breach. You may close your account at any time via account settings or by emailing hello@propledger.app.

11. Changes to these terms

We may update these Terms. For material changes, we will email registered users at least 14 days before the change takes effect. Continued use after the effective date constitutes acceptance.
